工程合約中有關暫估價和暫列金額的條款（中英文對照）
PROVISIONAL ESTIMATE PRICE & PROVISIONAL SUMS
暫估價 Provisional Valuation
暫估價：是指發包人在工程量清單或預算書中提供的用於支付必然發生但暫時不能確定價格的材料、工程器材的單價、專業工程以及服務工作的金額。
Temporary value means the unit price of material, engineering plant and / or the sums for special engineering and service, which are occur inevitably but temporarily unconfirmed, submitted by the employer in Bill of Quantity or Budget Report.
暫列金額：是指發包人在工程量清單或預算書中暫定並包括在合約價格中的一筆款項，用於工程合約簽訂時尚未確定或者不可預見的所需材料、工程器材、服務的采購，施工中可能發生的工程變更、合約約定調整因素出現時的合約價格調整以及發生的索賠、現場簽證確認等的費用。
Temporary amount means a sum of payment which is confirmed temporarily by the employer in Bill of Quantity or Budget Report and included in contract price, used for the expenses which are unconfirmed or unpredictable at the time of contract conclusion, such as procurement of necessary materials, engineering plant and service, variation or amendment which may occurred in the construction period, contract price adjustment where the adjusted cause stipulated in contract occur in addition to the expenses for claim, site confirmation and so on.
暫估價專業分包工程、服務、材料和工程器材的明細由合約當事人在專用合約條款中約定。
The detail of provisional valuation on sub-contract project, service, material and engineering equipment will be agreed by parties in particular conditions.
除專用合約條款另有約定外，對於不屬於依法必須招標的暫估價專案，采取以下第1種方式確定：
Unless otherwise stipulated in the term of particular condition, the following first way will be practicable to determinate the item with provisional valuation which not falling within the biding under law:
第1種方式：對於不屬於依法必須招標的暫估價專案，按本項約定確認和批準：
承包人應根據施工進度計劃，在簽訂暫估價專案的采購合約、分包合約前28天向監理人提出書面申請。監理人應當在收到申請後3天內報送發包人，發包人應當在收到申請後14天內給予批準或提出修改意見，發包人逾期未予批準或提出修改意見的，視為該書面申請已獲得同意；
The first way: the item with provisional valuation which not falling within the biding by law may be confirmed and approved subject to this agreement:
The contractor should, pursuant to the work progress schedule, on 28 days prior to the signature of contracts of purchase and subcontract on the item with provisional valuation, submit a written application to the supervisor. The supervisor should, within 3 days upon receipt of the application, submit to the employer which will, within 14 days upon receipt of the application give approval or amendment opinions thereof, otherwise fails to give approval or amendment opinion overdue, will be deemed to have been approved by the employer.
（2）發包人認為承包人確定的供應商、分包人無法滿足工程質素或合約要求的，發包人可以要求承包人重新確定暫估價專案的供應商、分包人;
Where the employer deems the supplier and subcontractor which are determined by the contractor fail to satisfy the project quality or contract requirement, may require the contractor make re-determine supplier and subcontractor of the item with provisional valuation.
（3）承包人應當在簽訂暫估價合約後7天內，將暫估價合約副本報送發包人留存。
The contractor should, within 7 days subsequent to signature of the contract with provisional valuation, submit a copy thereof to the employer for retention.
第2種方式：承包人按照第10.7.1項〔依法必須招標的暫估價專案〕約定的第1種方式確定暫估價專案。
The second way: the contractor shall, subject to the first way agreed under 10.7.1 [Bidding Item with Provisional Valuation by Law] determine the item with provisional valuation.
第3種方式：承包人直接實施的暫估價專案
The Third way: the items with provisional valuation which are implemented directly by the contractor.
承包人具備實施暫估價專案的資格和條件的，經發包人和承包人協商一致後，可由承包人自行實施暫估價專案，合約當事人可以在專用合約條款約定具體事項。
The contractor with the qualification and condition of implementation of the item with provisional valuation may, upon the consensus between the employer and the contractor, carry out such item, the details thereof may be agreed by parties hereof in particular conditions.
因發包人原因導致暫估價合約訂立和履行遲延的，由此增加的費用和（或）延誤的工期由發包人承擔，並支付承包人合理的利潤。因承包人原因導致暫估價合約訂立和履行遲延的，由此增加的費用和（或）延誤的工期由承包人承擔。
Where delay of conclusion and performance of the contract with provisional valuation due to the employer’s reason, the additional cost and / or delayed term shall be born by the employer in addition to the payment of the contractor’s reasonable profits.

暫列金額 Provisional Sum
暫列金額應按照發包人的要求使用，發包人的要求應透過監理人發出。合約當事人可以在專用合約條款中協商確定有關事項。
Provisional sum shall be used subject to the employer’s requirement which issued by the supervisor, and the relevant items therewith may be negotiated and determined by parties hereto in particular conditions hereof.
每筆暫列金額只應按雇主指示全部或部份地使用,並對合約價格相應進行調整.付給承包商的總金額只應包括雇主已指示的,與暫列金額有關的工作、供貨或服務的應付款項.對於每筆暫列金額,雇主可以指示用於下列支付:
Each Provisional Sum shall only be used, in whole or in part, in accordance with the Employer’s instructions, and the Contract Price shall be adjusted accordingly. The total sum paid to the Contractor shall include only such amounts, for the work, supplies or services to which the Provisional Sum relates, as the Employer shall have instructed. For each provisional Sum, the Employer may instruct:
暫定金額是指包括在合約中，並在工程量表中以該名稱標明，供工程任 何部份的施工，或提供貨物、材料、器材或服務，或供不可預料事件之費用的一 項金額。這項金額按工程師的指示可能全部或部份地使用，或根本不予動用。
"Provisional Sum" means a sum included in the Contract and so designated in the Bill of Quantities for the execution of any part of the Works or for the supply of goods, materials, Plant or services, or for contingencies, which sum may be used, in whole or in part, or not at all, on the instructions of the Engineer.
承包商僅有權使用按本款規定由工程師決定的與上述暫定金額有關的工作、供應或 不可預料事件的費用數額。工程師應將按本款所作的任何決定通知承包商，並向雇主呈交一份副本。
The Contractor shall be entitled to only such amounts in respect of the work, supply or contingencies to which such Provisional Sums relate as the Engineer shall notify the Contractor of any determination made under this Sub-Clause, with a copy to the Employer.
對於每筆暫定金額，工程師有權指示下列人員實施工作、提供貨物、材料、器材或服務：
In respect of every Provisional Sum the Engineer shall have authority to issue instructions for the execution of work or for the supply of goods, materials, Plant or services, by:
合約價格是暫定的, 甲方不增加工程量及合約價不變，合約金額是用綜合單價乘實際工程量的方法計算出來的,它包括乙方為工程供應的器材材料采購至中國口岸的費用、施工所承擔的直接費用、施工不良而支出的工程維修費及在合約期規定的保修、保養費，不含貨物從中國口岸移境至甲方所在地的所有費用，包括：運費、關稅和其它費用。

暫估價的說明：由招標人列明並應包含在投標報價匯總表中。
Statement of provisional valuation: The provisional valuation shall be listed by the bidding inviter and shall be included in the bid quotation matrix.
